Fortum to buy Eon’s Finnish subsidiary

Finnish energy company Fortum is to buy a majority stake in the Finnish arm of German utility Eon from the parent company and has also offered to buy the City of Espoo’s 34.2% shareholding. Fortum will pay Eon 390 million euros ($509 million) for its 65.6% stake and 257 euros million to the City of Espoo when the latter offer is approved.

Fortum is using a call option to buy Eon’s majority stake. Fortum received the option to buy the shares as part of compensation it received from a deal made with E.on in 2002. Under that agreement, Eon bought Fortum Energie, Fortum’s German subsidiary, which owned utility assets in Germany.

The exact purchase price of Eon Finland depends on the Eon subsidiary’s net results and dividend distribution for 2004.
