EU reforming shareholder rights

BRUSSELS – The European Commission (EC) is considering how best to push on with its plans to reform shareholder rights. The recent publication of the European Parliament’s (EP) Draft Opinion on the topic allows the issue to go back to the EC for discussion.

The EC’s proposal in January 2006 was intended to make it easier for shareholders who have a stake in a company in the EU, but in a different member state, to take part in ‘cross-border voting’ processes. Current EU legislation on this area, Article 17 of the Transparency Directive, made law in May 2004, is considered to be unclear in several key areas.

The new proposals from the EC have four main
